Definitions
1. “Datasets”: Literary and cultural works, together with related metadata, licensed by Clavis Aurea AI for AI training or retrieval applications.
2. “Publisher”: An individual, company, or organization that licenses its works to Clavis Aurea AI.
3. “Customer”: An AI company, researcher, or developer licensed to access and use datasets.
4. “License”: A written contract that specifies rights and obligations regarding dataset use.
5. “RAG”: Retrieval-Augmented Generation, where AI uses licensed works in a searchable database for dynamic responses.

Scope of Services
Clavis Aurea AI provides Services including, but not limited to:
– Licensing curated datasets for use in AI model training and evaluation.
– Providing transparent reporting and usage auditing for publishers.
– Supporting publishers in monetizing content through sustainable licensing models.
– Ensuring compliance with copyright laws and protecting editorial integrity.

The Services are intended to create equitable access for underrepresented languages such as Arabic, Farsi, Malayalam, Turkish, and others.

Intellectual Property
All rights in the original works remain with the publishers or their authors. Clavis Aurea AI claims no ownership of these works, except for rights granted under individual license agreements. The Company owns the curation, metadata, formatting, compilation, and delivery systems that make datasets usable for AI training. Customers are prohibited from:
– Reselling or redistributing datasets.
– Using datasets beyond the scope of agreed license terms.
– Removing or altering attribution metadata.

Publishers retain the right to license their works to other parties, unless explicitly stated otherwise in a signed contract.

Licensing and Use
Licenses are issued on a non-exclusive basis, unless otherwise agreed. They may cover:
– Fundamental Model Training: Content used in the core training of LLMs.
– Retrieval-Augmented Generation (RAG): Content stored for dynamic retrieval by AI systems.

Prohibited uses include, but are not limited to:
– Creating derivative works that replicate or compete with the original literary works.
– Using content to generate defamatory, illegal, or discriminatory AI outputs.
– Violating applicable copyright or intellectual property laws.

Licenses may specify time limits (e.g., 3–5 years), renewal conditions, compensation models, and safeguards against misuse.

Publisher Safeguards
Clavis Aurea AI commits to:
– Providing detailed reporting of dataset usage, including clients and use cases.
– Offering publishers audit rights over usage logs.
– Guaranteeing minimum compensation or tiered pricing models when negotiated.
– Ensuring content integrity and preventing AI outputs that directly compete with original works.

These safeguards are central to our mission of empowering small and independent publishers.

Payment and Fees
Customers must pay licensing fees as specified in their agreements. Payment models may include:
– One-time flat fees (calculated on dataset scope and value).
– Recurring subscription fees.
– Usage-based models (e.g., pay-per-query in RAG contexts).

Publishers may request detailed usage reports and compensation tracking. Late payments may result in suspension of access to Services.

Disclaimers
While every effort is made to curate high-quality and accurate datasets, Clavis Aurea AI does not warrant that datasets are free from all errors. We are not responsible for outcomes produced by AI models trained on licensed data. Customers bear responsibility for ensuring ethical application of AI models.

Limitation of Liability
To the maximum extent permitted by law, Clavis Aurea AI shall not be liable for indirect, incidental, or consequential damages arising from the use of our Services. Our total liability for any claim shall not exceed the amount paid by the Customer under the relevant license agreement.

Indemnification
Customers agree to indemnify Clavis Aurea AI against claims, damages, or legal actions resulting from misuse of datasets. Clavis Aurea AI agrees to indemnify publishers against unauthorized distribution or breach of license terms attributable to us.

Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the Netherlands and the courts in the Netherlands. Any disputes shall be resolved through mediation before proceeding to arbitration or court. Parties agree to cooperate in good faith to resolve disputes efficiently.

Changes to Terms
Clavis Aurea AI may update these Terms from time to time. Users will be notified of changes via our website. Continued use of Services constitutes acceptance of updated Terms.
